Your Shield in the Chaos

This Master Services Agreement ("Agreement") is made and entered into as of the current date, by and between Code 3 Rescue Tech, LLC, a Vermont Limited Liability Company ("Company"), and the entity identified in this checkout process ("Client").

1. Services: Company agrees to provide Client with access to its proprietary white-label incident response software platform ("Service"), which includes a real-time, web-based incident management dashboard and a mobile application for reporting.

2. Term: This Agreement shall commence on the Effective Date and continue based on the subscription plan selected.

3. Payment and Billing: Client shall pay the fees associated with the subscription plan selected. Fees are due as per the selected plan (Per-Event, Monthly, or Annual).

4. Intellectual Property: Company retains all rights to the Service. Client retains all rights to its own logos, trademarks, and data.

5. Confidentiality & HIPAA: Both parties agree to hold each other's Confidential Information in strict confidence. Company agrees to implement and maintain appropriate safeguards to protect any Protected Health Information (PHI) as defined by HIPAA.

6. Limitation of Liability: In no event shall Company be liable for any indirect, incidental, special, or consequential damages. The Company's total liability shall not exceed the fees paid by the Client in the preceding twelve (12) months.

7. Governing Law: This Agreement shall be governed by the laws of the State of Vermont.
